Terms of Service

1. Acceptance of Terms
By accessing or using Drap HRM ("the Service"), operated by Drap.ai ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Drap HRM is an attendance tracking and HR management platform integrated with Slack. The Service provides:
- Time and attendance tracking via Slack commands
- Break and overtime management
- Leave request and approval workflows
- Team visibility and reporting
- Analytics and insights dashboard
- Asset management features
- Learning and development tracking
3. Account Registration
3.1 Eligibility
You must be at least 16 years old and have a valid Slack workspace to use the Service. By registering, you confirm that all information you provide is accurate and complete.
3.2 Account Security
You are responsible for maintaining the security of your Slack workspace and any credentials used to access the Service. You must notify us immediately of any unauthorized access or security breaches.
3.3 Organization Administrators
The person who installs the Slack app becomes the organization administrator. Administrators can add other administrators, manage users, and access all organization data including attendance records and reports.
4. Subscription and Payment
4.1 Free Trial
New organizations receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.
4.2 Pricing
The Service is billed on a per-user, per-month basis at $0.99 USD per active user. "Active user" means any user who has used a Slack command or logged attendance during the billing period.
4.3 Billing Cycle
Subscriptions are billed monthly in advance. When users are added mid-cycle, charges are prorated. Payments are processed through Stripe.
4.4 Price Changes
We may change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.
4.5 Refunds
Subscription fees are non-refundable except where required by law. If you cancel mid-cycle, you will retain access until the end of your paid period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Transmit viruses, malware, or other harmful code
- Use automated systems to access the Service without permission
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
- Use the Service to track employees without their knowledge (where required by law)
- Submit false attendance records or manipulate data
6. Data Ownership and Rights
6.1 Your Data
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide the Service to you.
6.2 Our Intellectual Property
The Service, including its software, design, features, and content (excluding Your Data), is owned by Drap.ai and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.
6.3 Feedback
If you provide feedback or suggestions about the Service, we may use them without obligation to you.
7. Service Availability
7.1 Uptime
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
7.2 Modifications
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of significant changes that materially affect your use of the Service.
7.3 Third-Party Dependencies
The Service depends on Slack and other third-party services. We are not responsible for outages or changes to these third-party services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
9. Indemnification
You agree to indemnify and hold harmless Drap.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit to the Service
10. Termination
10.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.
10.2 Termination by Us
We may suspend or terminate your access to the Service if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
- Abuse the Service or other users
10.3 Effect of Termination
Upon termination, your right to use the Service ends immediately. You may request export of Your Data within 30 days of termination. After 30 days, Your Data may be deleted.
11. Dispute Resolution
11.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@drap.ai to attempt to resolve the dispute informally.
11.2 Arbitration
Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.
11.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users in the European Union, mandatory consumer protection laws of your country of residence may apply.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and sending a notification through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Drap.ai regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
